To offer a safe and secure shopping experience, Associated Bio‑Med Products Supply, Inc., dba MedSource‑SW, a Texas corporation (“MedSource‑SW,” “we,” “us,” or “our”), has established these online terms and conditions for any user, viewer, or buyer at www.medsource-sw.com (the “Site”). These Terms and Conditions of Sale (the “Terms”) apply to the purchase and sale of products through the Site. By placing an order for products through the Site, you agree to be bound by and accept these Terms. If you do not agree to these Terms, you must not obtain products from this Site.
We may change these Terms at any time in our sole discretion by posting an updated version on the Site, and such changes will apply to orders placed after the date of posting.
Intellectual property
All content on the Site, including text, graphics, logos, button icons, images, audio clips, and software, is the property of MedSource‑SW or its suppliers and is protected by U.S. and international copyright laws. All trademarks, service marks, and trade names are proprietary to MedSource‑SW or www.medsource-sw.com. All other trademarks not owned by MedSource‑SW or www.medsource-sw.com that appear on the Site are the property of their respective owners. Any unauthorized use of materials appearing on the Site may violate copyright, trademark, and other applicable laws.

Who we sell to
Our products are intended for purchase and use by professional healthcare providers and organizations. By placing an order, you represent and warrant that you are purchasing for professional or institutional use and not for personal or consumer use or resale, unless we have agreed otherwise in writing.
Payment terms
We accept payment by major credit cards, including American Express, MasterCard, and VISA. Payment is due in full at the time of order, and your card will be charged upon placement. By submitting payment information, you represent that you are authorized to use the payment method and that all information you provide is true, correct, and complete. You agree that all prices, taxes, shipping and handling charges, and any other fees applicable to your order will be clearly disclosed at checkout.
You agree not to initiate a chargeback with your card issuer for any transaction that complies with these Terms and our published return policy. If you believe a charge was made in error, you must contact us first so we can investigate and, if appropriate, issue a correction or refund.
We may refuse or cancel any order that we suspect is fraudulent, unauthorized, or otherwise inconsistent with these Terms or applicable law.
Returns
All returns require prior approval and a Return Authorization Number (“RMA”) issued by MedSource‑SW. A 20% restocking fee applies to all approved returns. To qualify for return, products must be new, unused, in their original unopened packaging, include all accessories, and be received by us within 20 days of your receipt of the products.
For safety, regulatory, and hygiene reasons, certain products are not returnable, including but not limited to: opened or partially used products; sterile or single-use products that have been opened; custom or special‑order products; and products marked “non-returnable” at the time of sale.
Unless the return is due to our error, you are responsible for all return shipping costs and for ensuring that returned products are appropriately packaged and insured. Returned products are subject to inspection, and credits will be issued to the original payment method only after we confirm they meet the return criteria.
Shipping & expectations
All shipments are FOB Shipping Point, and risk of loss passes to you when we deliver the products to the carrier. Any delivery dates we provide are estimates only and are not guaranteed. Some items are special‑orders and may require additional lead time. If your order is time‑sensitive, you must contact us before placing it to confirm availability and shipping options.
We may ship your order in multiple shipments. You will be charged only once for shipping and handling, unless otherwise disclosed at checkout.
Advertising disclaimer & trademarks
Product descriptions posted on the Site are provided by our suppliers. We are not responsible for the accuracy or completeness of such descriptions and are not responsible for typographical, pricing, product information, advertising, or shipping errors. In the event a product or service is listed at an incorrect price or with incorrect information due to a typographical error or an error in pricing or product information received from our suppliers, we reserve the right to refuse or cancel any orders placed for products listed at the incorrect price or with incorrect information, whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged and your order is canceled, we will issue a credit to your card in the amount of the charge.
All trademarks and registered trademarks relating to products available through the Site are the sole property of their respective owners. Photographs displayed on the Site are courtesy of the respective manufacturers.
Warranty and “as‑is” disclaimer
All products come with any applicable manufacturer's warranty. We do not offer any warranties of our own and are not responsible for product failures or failures caused by improper installation, misuse, or inconsistency with manufacturer instructions. We are not responsible for shipping costs other than those due to our own mistake. We will assist with warranty facilitation, but any remedies are subject to the manufacturer’s decisions.
THE PRODUCTS, SITE, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK. MEDSOURCE‑SW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE SITE AND SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
To the maximum extent permitted by law, MedSource‑SW shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including without limitation loss of profits, goodwill, or data, even if MedSource‑SW has been advised of the possibility of such damages, arising out of or relating to your use of the Site, the Services, the products, or these Terms. In no event will our total liability for any claim relating to any product exceed the amount you paid for that product.
Governing law, venue, and time limits
These Terms and any disputes arising out of or relating to the Site, the products, or these Terms shall be governed by the laws of the State of Texas, without regard to its conflict‑of‑laws principles. You agree to the exclusive jurisdiction and venue of the state courts located in Denton County, Texas, and the United States District Court for the Northern District of Texas. Any cause of action you bring arising out of or related to the Site, the products, or these Terms must be instituted within one year after the cause of action arises, or it will be deemed forever waived and barred.

Miscellaneous
These Terms constitute the entire agreement between you and MedSource‑SW regarding the purchase of products through the Site. If any provision is found invalid, the remaining provisions shall remain in full force and effect.
